Automation Systems SIG Constitution
Article I - Name
This organization shall be called the Project Management Institute Automation Systems Specific Interest Group (hereinafter called the "AutomationSIG"). Project Management Institute is a non-profit professional association incorporated as a 501 (c) (6) and dedicated to advancing the state-of-the-art in project management.
Article II - Purposes
Section A. Purpose
The fields of automation systems have not traditionally been recognized within
Project Management and PMI. Automation Systems professionals have had no
where to turn to share best practices and gain information within PMI. In
addition, Project Managers have had no support in relating to their Automation
Systems colleagues. The Automation Systems SIG is dedicated to opening
channels of communication with traditional project managers, spreading the
techniques of Project management to the Automation Systems profession, and
sharing information between professionals in the field.
Section B. Vision
To establish strong project management understanding and excellence between
the professions of automation systems
and project management while endeavoring to establish project management
as a methodology of planning and
implementing initiatives within the professions of automation systems.
Section C. Mission
To develop a formal channel of communication and sharing within the Project
Management profession and reach out
to those who are in the automation systems industry, but have not been introduced
to Project Management.

Section G. Authority and Rules
Authority and rules governing formation and operation of the AutomationSIG
are vested in the Project Management Institute's Constitution and By-laws.
Section H. PMI's Constitution and By-laws
PMI's Constitution and By-laws shall take precedence over the Constitution
and By-laws of the AutomationSIG.
Section I. AutomationSIG Constitution
The Constitution of the AutomationSIG takes precedence over the By-laws of
the AutomationSIG.
Section J. Charter Continuation
Continuation of the AutomationSIG Charter is subject to cancellation or
withdrawal by PMI's Board of Directors at any time, for due cause. The SIG
will recognize the PMI SIG Guidelines and Procedures Handbook as the basis
for charter renewal.
Section K. Dissolution
Should the Charter of the AutomationSIG be dissolved for any reason, its
assets shall, after payment of all just debts, be turned over to PMI.
Article III - Membership
Section A. Eligibility
Membership in the AutomationSIG shall be open to any person who is a PMI
member in good standing and who is interested in furthering the purposes
of the AutomationSIG, without regard to race, color, religion, national origin,
age, sex, marital status, or disability.
Section B. Application Process
Eligible applicants shall become a member upon receipt of his/her application
and payment of AutomationSIG dues. For specifics, see By-laws.
Section C. Good Standing
AutomationSIG membership shall continue as long as the member maintains active
membership and remains in good standing (dues current) with PMI and the
AutomationSIG.
Article IV - Board of Directors
Section A. Composition and Authority
The governing body of the AutomationSIG shall be the AutomationSIG Board
of Directors (hereinafter "the Board"), consisting of the elected and appointed
officers of the AutomationSIG, as specified in the By-laws. The sole
responsibility for management of the AutomationSIG rests with the Board.

Section B. Voting
Elected officers retain one (1) vote each. Appointed officers are non-voting.

Section C. Meetings
Meetings of the Board of Directors will be conducted at least twice per year.
A meeting of the membership will be held at least once per year. For specifics,
see the By-laws.
Section D. Annual Report
An annual report shall be provided in writing to all AutomationSIG members
in good standing on the state of the SIG. The Charter renewal package containing
annual report information shall be provided to the PMI Board of Directors
as requested. For specifics, see the By-laws.
Section E. Annual Budget
An annual budget shall be prepared and examined periodically. For specifics,
see the By-laws.
Section F. Questions
Questions regarding the AutomationSIG or PMI shall be addressed primarily
to any of the SIG officers or officers of PMI. A list of the SIG officers
shall be published and made available to the SIG membership and PMI.
Article V - Elections and Tenure
Section A. Elections
Elections for AutomationSIG officers will occur annually by a ballot e-mailed
out to SIG members and mailed to those without e-mail addresses. For specifics,
see the By-laws.
Section B. Nominations
Nominations for AutomationSIG officers will occur annually using the prescribed
timetable outlined in the AutomationSIG By-laws. For specifics, see the By-laws.
Section C. Office Vacancies
In the event that an elected officer is unable to fulfill his/her position
responsibilities, the Chair of the AutomationSIG may appoint a replacement
with approval by the Board. This appointee shall serve as an elected officer.

Section D. Tenure
Elected officers shall hold office for three (3) years rotating off about
one-third of the officers every year due to staggered terms to assure continuity.
Interim officers will serve in staggered terms by position. For specifics,
see the By-laws.
Section E. Recall
Any elected officer may be recalled by written request of a majority of the
AutomationSIG membership. An elected or appointed officer may be recalled
by a majority vote of the AutomationSIG Board. For specifics, see the By-laws.
Article VI - Voting, Balloting
Section A. Voting and Balloting
Each voting member of the AutomationSIG will receive a ballot. For specifics,
see the By-laws.
Article VII - By-laws
Section A. By-laws Adoption and Maintenance
The AutomationSIG shall adopt and maintain By-laws to define the policies,
procedures, and processes of the AutomationSIG's business operations. The
Board is ultimately responsible for maintaining the By-laws. The By-laws
are adopted and can be amended by the AutomationSIG membership. For specifics,
see the By-laws.
Article VIII - Amendments
Section A. Constitutional Amendments
Amendments to this Constitution may be made only with the approval of the
PMI Board of Directors. The AutomationSIG may petition the PMI Board to consider
amendments. For specifics, see the By-laws.
Section B. By-laws Amendmentstional Amendments
Amendments to the By-laws of the AutomationSIG shall be made solely
by the AutomationSIG Board of Directors.
Section C. Communication of Amendments
Any additions or changes in the AutomationSIG Constitution/By-laws shall
be reported to the membership by e-mail or mail to those without e-mail addresses
by the Director & Vice President for Administration.
Section D. Filing
A copy of the AutomationSIG Constitution and By-laws as well as subsequent
amendments shall be filed with PMI. For specifics, see the By-laws.
Article IX - Limitations
Section A. Standards of Conduct
No member of the AutomationSIG shall receive any pecuniary gain or profit,
incidental or otherwise, from its activities, except that the AutomationSIG
shall be authorized to pay reasonable compensation for services rendered
making payments in furtherance of the purposes set forth in this Constitution.

Section B. Adherence to Governmental Bodies
The AutomationSIG is domiciled in the United States and, as such, is subject
to US laws; however, all AutomationSIG activities shall abide by the laws
of the respective locality, states, districts, provinces, and countries within
which it operates, provided those laws do not conflict with US laws. When
there is a conflict, US laws will prevail. For specifics, see the By-laws.
Article X - Financial
Section A. Fiscal Year
The fiscal year shall extend from January 1 to December 31 (Calendar Year).
Section B. Membership Dues
The AutomationSIG shall set dues as provided in the AutomationSIG By-laws.
Section C. Financial Control
The AutomationSIG shall set and arrange for collection of AutomationSIG dues
as per the By-laws.
