A) Leader for life: Kima Greyleaf is leader for life. You cannot run an adventuring company as a democracy, as there are times and places where voting is not acceptable. If for any reason, Kima decides to step down as leader, she will choose a replacement from those currently serving on the Clan directorate.
B) The directorate: That being said, Clan is big enough so that Kima cannot do everything by herself.. Therefore, there will be a council that will be elected from all full members of Clan Shado. This council, in conjunction with the Clan leader, shall be known as the Clan Directorate.
B1) Responsibilities of the directorate: The directorate will serve to run the day-to-day operations of the Clan, and to decide those issues which do not require the attention of a full Clan meeting. Issues put to a vote in the directorate will be decided by a simple majority. However, the leader's vote will break all ties.
B2) Electing members to the council: The Clan council shall begin by consisting of three full Clan members, elected by the membership at large. Any candidate for the council must be nominated by another full member, and be approved by a majority vote of the members present at a formal Clan meeting (see Article III). Elections to the council are subject to a veto by the Clan leader. The size of the council can be changed by a unanimous vote of the council. Any openings thus created must be filled at the next formal Clan meeting.
B3) Terms of office: Council members serve indefinitely. However, they are subject to votes of no-confidence at any formal meeting. Any full member can ask for such a vote. A 2/3 vote in favor of removing a member of the council is necessary in order to remove said member.
ARTICLE II: MEMBERSHIP
A) Leaving Clan: Any member can leave Clan at any time. Any member leaving Clan is entitled to have half the value of their donations to Clan (money and magical) refunded to them.
B) Founding members: There are four founding members: Kima Greyleaf, Marisalea Cat, Alima, and Kilian Castiano. Founding members cannot be asked to leave Clan unless by a unanimous vote of the other founding members and the directorate. Founding members are allowed to sponsor two associates at one time. Founding members are additionally granted all the rights of full members.
C) Full members: Full members are granted voting rights in the Clan, and can sponsor associate members. Each full member can sponsor at most one associate at a time. Full members can be expelled from Clan only by a unanimous vote of the directorate, or a 2/3 vote of the full membership at a formal meeting.
D) Associate members: Associate members are sponsored by any Clan member, and are considered an associate when approved by any member of the Clan directorate. Associates status is granted for a period not to exceed one year (multiple associate periods are acceptable). Any time after six months as an associate, a vote can be held on the admission of the associate as a full member. These votes can only take place at formal Clan meetings (see Article III), and a 2/3 majority of present members is needed to grant this status.
E) Friends of Clan: The special status of "Friend of Clan Shado" can be awarded to any individual by a 2/3 vote of the members at a formal meeting, or by the unanimous vote of all members of the directorate. A Friend of Clan is granted special consideration with regards to trading for magic items that Clan has in its vaults, and Clan will donate funds (amount to be determined by a member of the Directorate) to help defray expenses incurred in raising and restoring Friends. Friends of Clan are not required to be sponsored, and these memberships do not expire. A Friend of Clan can lose this status by a majority vote of the directorate, or a 2/3 vote of the full membership.
ARTICLE III: MEETINGS
A) Full meetings: Meetings of the full Clan shall take place at least once per calendar year, and not more than four times. The time and place of these meetings shall be decided by the directorate, and announced in advance to the membership. Decisions shall be made based on members present, not on the total membership (so, for example, only a 2/3 vote of those present is necessary to advance an associate to full membership).
B) Directorate meetings: The directorate shall meet as frequently as it feels is necessary. Votes of the directorate shall be based on total number of members, not on number of those present.
ARTICLE IV: MAGIC ITEMS
A) Clan Armory: The Clan expects all full members to contribute to the Clan armory. While contributions to the armory are technically voluntary, the directorate can issue warnings to members whom they feel are not contributing their fair share.
B) Purpose of the armory: Items in the Clan armory serve four purposes.
B1) To provide items to be distributed to less experienced members of the Clan. These items are given in the form of indefinite long term loans.
B2) To provide a fund of magic to help pay for any magical restoration or ressurection needed by Clan members.
B3) To provide a pool of items for trading within the Clan. Often what one member cannot use, another would love to own. Full Clan members are given favorable rates of exchange when trading with the armory. Associate members are granted considerations, but are not given the advantages of full members.
B4) The armory will also trade magic items with adventurers not in Clan. Said trades should occur for the purpose of strengthening the armory by, for example, trading away items that are in excess supply for those that are needed.
C) Rules of the armory: The armory shall be in the hands of a member of the directorate at all times. Only members of the directorate are allowed to approve trades by the armory. In the case of a member of the directorate wishing to trade with the armory, a different directorate member is required to approve the trade.
C1) Member Loans: Any full member of the Clan is allowed to take items on "loan" from the armory. A full member may borrow any one item from the Clan. Items beyond one may only be borrowed with the approval of any directorate member. Said items are considered to still belong to the armory, but are in the process of being traded for by the member. Items may be borrowed indefinitely, and returned with no penalty. Any member of the directorate can ask for the return of an item on loan at any time. In case of such a request, the borrowing member must either return the item, or arrange a trade for the item with the armory.
C2) Associate loans: Associates are allowed to borrow only one item, and this only with the approval of a member of the directorate.
ARTICLE V: OTHER BENEFITS AND RESPONSIBILITIES
A) Clan hall: All members are granted full access to the Clan hall, and free room and board therein if they wish.
B) Resurrection and restoration: The Clan will make every effort to have members who suffer misfortune resurrected and restored, if such becomes necessary. Clan members are expected to keep recent fingernail clippings on file to expedite the use of resurrection spells.
C) Spells: Any spellcasting member of Clan Shado agrees to teach free of charge any spell in his or her spellbooks to any other member.
D) Monetary Funds: Clan Shado is in continual need of gold and other valuables. These funds are used for paying for the cash percentage of magical spells (ressurections, etc), buying magic items, acquiring property, and sundy other uses. Clan members are asked to donate any excess funds they may have to the Clan coffers to help defray these expenses.
