Michael D. Golden specializes in the corporate, tax and securities areas, handling national and international business, investment and financing transactions. Mr. Golden utilizes his specialized training and experience in the planning, structuring and implementation of transactions for businesses and business owners in any field of endeavor. Such transactions have included the purchase and sale of assets or stock of businesses, corporate mergers and acquisitions, start-up business ventures, raising equity capital from a variety of sources, structuring of financing arrangements, issues of corporate governance and control, commercial contracts, formation of partnerships and joint ventures, and a multitude of day-to-day business problems and issues.

Mr. Golden was a member of the staff of the Securities and Exchange Commission. Subsequently, as the principal securities partner at another firm, he handled public and private offerings, securities investigations, real estate syndications and the corporate, securities and regulatory aspects of acquisitions, mergers and sale transactions in a wide variety of business sectors. Mr. Golden has taught seminars in Business Planning and in Securities Regulation at the Washington College of Law of American University.

Combining his corporate and securities experience with a Master of Laws in Taxation from Georgetown University, Mr. Golden brings to business transactions a unique multi-faceted capacity to understand and appreciate the financial and business needs and objectives of clients. He is a strong believer in the principle that our laws should be viewed as vehicles - rather than obstacles - to the achievement of business goals. His loyal client following is attributable to his ability to find creative solutions to business problems. He has and maintains personal relationships with representatives of investment banking firms, banks, broker-dealers and venture capital firms, and is knowledgeable in the business and legal issues of the emerging fields of telecommunications and computer technology.

Mr. Golden also has considerable experience in the representation of foreign interest in connection with investment in U.S. Businesses. He regularly represents companies from Japan, Korea, France and the United Kingdom in connection with U.S. activities, and has experience with offshore countries which offer tax advantages for foreign investment.

Mr. Golden completed his undergraduate studies at Cornell University and was graduated in 1965 from New York University School of Law, where he was a member of the Law Review.

HEDY L. NELSON

Ms. Nelson has practiced in the area of commercial law for 13 years. Her principal experience has been in the areas of business law and financing transactions.

Business Law Advice. Ms. Nelson has substantial experience advising clients in a wide variety of business transactions. Her responsibilities have included negotiating transactions, as well as preparing and reviewing related documentation. She has handled the creation of, and investment in, corporations, limited liability companies, limited partnerships, general partnerships and joint ventures, merger, acquisition and sale transactions, and all aspects of financing and financial restructuring. Representative transactions include the purchase of stock of a fiber optic cable company for a purchase price of approximately $17,000,000, investment of several million dollars in a company with innovative environmental technology, and the purchase of assets of a technology company. In addition, Ms. Nelson has advised clients regarding laws addressing corporate and partnership governance (including shareholder and director issues), has structured and drafted shareholder buy-sell arrangements and has participated in the resolution of shareholder disputes. Ms. Nelson also had a significant role in the preparation of an investigative report of alleged wrongdoing at a well-known charitable organization, as well as the transfer of control of a major university. Other areas in which Ms. Nelson provides clients with advice include various contract negotiations, license agreements, strategic business relationship arrangements, dispute resolution, employment matters and commercial real estate transactions.

Financing Advice. Ms. Nelson has advised borrowers in a wide variety of commercial loan transactions, including loan guarantees and acquisition financing in excess of $100,000,000 to a newspaper conglomerate with public debt outstanding, a $60,000,000 revolving credit facility to a government/technology firm and its 20+ subsidiaries, an $8,000,000 subordinated loan to the same borrower, a $7,000,000 technology company loan guaranteed by the Export-Import Bank, and international ship financings. Ms. Nelson's involvement in loan transactions traditionally encompasses structuring initial commitments, review of loan documents prepared by lender's counsel and preparation and oversight of closing requirements.

Education/Bars. Ms. Nelson received her Juris Doctor from George Washington University's National Law Center in 1984. She is a member of the District of Columbia and Maryland bars.
